Shotgun ("Shotgun", the "Company", "we", "us", or "our") provides consumer software services built on top of the Solana or other blockchains ecosystem. Our Services include but are not limited to our web application, application programming interfaces, blockchain infrastructure, and smart contracts (the "Services"). The Services are primarily accessed through our website, https://shotgun.fun (the "Platform").
These Terms of Use (these "Terms" or this "Agreement") set forth the terms and conditions that govern your access to and use of the Platform and Services and form a legally binding agreement between us and you and/or the entity you represent ("You", "Your", or "User", and each of you and us, a "Party").
Your use of the Platform or Services is conditioned upon your acceptance of these Terms. By accessing or using the Platform or Services in any manner, you expressly acknowledge and agree to be bound by these Terms and all terms incorporated herein by reference. Furthermore, by agreeing to these Terms, you certify that you are at least 18 years of age. Additionally, your agreement to these Terms constitutes your consent to the collection, use, disclosure, and other handling of information as described in our Privacy Policy, available at https://shotgun.fun/privacy (the "Privacy Policy"). The Privacy Policy is incorporated into these Terms by reference, and all references herein to the "Terms of Use", the "Terms", or this "Agreement" shall include a reference to the Privacy Policy.
PLEASE NOTE THAT THESE TERMS OF SERVICE REQUIRE INDIVIDUAL ARBITRATION (SEE SECTION “MANDATORY ARBITRATION”) FOR DISPUTE RESOLUTION, INSTEAD OF JURY TRIALS OR CLASS ACTIONS. ADDITIONALLY, THESE TERMS LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.
Shotgun's Platform is currently undergoing beta testing and is made available on a pre-release basis. As such, the Platform may contain errors, bugs, or other issues and is provided “as is” with no warranties.
Shotgun provides access to non-custodial blockchain interfaces that allow Users to generate or import wallets, view balances, and interact with decentralized applications and smart contracts deployed on Solana or other blockchains. Shotgun is not a financial institution, exchange, broker-dealer, wallet provider, custodian, or money transmitter. Shotgun does not take possession, custody, or control of digital assets at any time. You acknowledge and agree that all transactions are executed directly between blockchain-based wallets under your sole control.
By using the Platform or Services, you represent and warrant that you are not a person or entity barred from using the Services under the laws of your jurisdiction or any other applicable jurisdiction, including, without limitation, due to export restrictions, sanctions, or regulations. You further represent and warrant that you are not a resident, citizen, or entity incorporated in, and will not access the Services from, any jurisdiction that is subject to embargoes or other sanctions by the Republic of Panama, the United Nations, the European Union, or the Office of Foreign Assets Control of the United States Department of the Treasury (OFAC), including but not limited to the United States, Cuba, Iran, North Korea, Syria, Venezuela, or the Crimea region.
You acknowledge and agree that you will not use any technology (including VPNs, proxies, or Tor) to misrepresent or obscure your location for the purpose of circumventing these restrictions.
You must use a self-custodial wallet in order to access the Platform. Wallets may be imported or generated directly through Shotgun. However, Shotgun does not store, manage, or recover private keys or seed phrases. You acknowledge that it is your sole responsibility to secure your wallet credentials and to take appropriate measures to protect your devices, keys, and data. Shotgun cannot access or recover lost credentials, and we disclaim any liability for the loss or compromise of wallet access.
Shotgun provides software for interfacing with decentralized blockchain networks. Shotgun does not facilitate, validate, match, or broker transactions between users, and at no point does Shotgun take custody or possession of any assets. You understand and acknowledge that Shotgun’s role is limited to the provision of open-source or proprietary non-custodial software tools, and that you assume all responsibility for verifying, initiating, and executing your transactions.
By accessing or using the Platform or Services, you acknowledge and agree that you are solely and entirely responsible for ensuring that your activities comply with all laws, rules, and regulations applicable to your jurisdiction. You further agree that it is your responsibility to maintain and safeguard the security of your self-custodial wallet, including all private keys, seed phrases, and access credentials associated with it. Shotgun does not have access to, and cannot assist in the recovery of, your wallet or credentials.
You are also responsible for verifying the accuracy and validity of all information, transactions, and smart contract interactions initiated through the Platform. You understand and accept that all blockchain-based transactions are irreversible and that Shotgun does not control or mediate the execution of any transaction.
In addition, you agree that any taxes, fees, duties, or other governmental charges arising from your use of the Services or any blockchain-based activity are your sole obligation. Shotgun does not provide tax advice or reporting support, and assumes no responsibility for any such obligations.
Finally, you accept full liability for any loss, damages, or claims resulting from your failure to comply with these responsibilities, and you release Shotgun from any and all liability arising therefrom.
You agree that your use of the Services is at your own risk. Shotgun is not liable for any losses you incur as a result of your decisions or reliance on the Services.
The Platform and Services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Shotgun disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no representations or warranties that the Services will be uninterrupted, error-free, or secure, or that any content, data, or results obtained from use of the Services will be accurate or reliable.
You acknowledge that blockchain technologies involve significant risks, including the potential for complete and irreversible loss of digital assets, high volatility, smart contract bugs, malicious attacks, and regulatory uncertainty. You agree that you assume all risk in connection with your use of the Platform.
You agree that no individual officer, director, employee, contractor, or affiliate of Shotgun shall be personally liable for any damages or liabilities arising out of or related to your use of the Platform or Services. This waiver is a material condition of your access to the Platform.
These Terms and any claim, controversy, dispute, or cause of action arising under or relating to these Terms, the Platform, or the Services shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved through final and binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP), with the seat of arbitration in Panama City, Republic of Panama. The arbitration proceedings shall be conducted in English by a single arbitrator. Each Party shall bear its own legal fees and costs, unless otherwise determined by the arbitrator.
You agree to indemnify, defend, and hold harmless Shotgun, its officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform or Services.
You understand and agree that you are waiving the right to a trial by jury or to participate in a class action.
The Services may evolve over time toward decentralized governance, including oversight by a decentralized autonomous organization (“DAO”) or community-based structure. You acknowledge that any such evolution does not create a fiduciary relationship between you and Shotgun or its contributors, nor does it impose any legal obligations or liabilities upon Shotgun, its developers, or associated persons. Nothing in this Agreement shall be construed to establish Shotgun, its developers, or contributors as fiduciaries or agents of any user.
To the extent the Platform incorporates or interacts with open-source software, third-party smart contracts, or external protocols, such components are provided “as-is” and without warranties. Shotgun makes no representations or guarantees regarding the functionality, security, or reliability of such components, and disclaims all liability for their use or performance.
Nothing in these Terms shall be construed to create or imply a partnership, joint venture, agency, fiduciary, or employment relationship between you and Shotgun. You shall not represent or hold yourself out as an agent of Shotgun in any capacity.
Shotgun reserves the right, but not the obligation, to request Know-Your-Customer (KYC) or Anti-Money Laundering (AML) documentation from Users in connection with use of the Platform. Shotgun may suspend or terminate access to the Services in the event of non-compliance.
Shotgun may suspend or terminate your access to the Platform or Services at any time, with or without notice, for any reason or no reason, including but not limited to your breach of these Terms, legal or regulatory obligations, or violation of any applicable laws.
